1. Description of Service

ZeviNote is an AI-powered documentation and communication assistant designed for residential care home operators and their staff. The platform helps users generate:

• Daily care logs and shift records
• Family communication updates
• Caregiver wellbeing messages
• Compliance-related documentation drafts

2. Eligibility and Account Registration

To use ZeviNote, you must:

• Be at least 18 years of age
• Be an authorized operator or staff member of a licensed residential care facility or group home
• Have the legal authority to enter into binding agreements on behalf of your facility
• Provide accurate and complete registration information

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately at legal@zevinote.com if you become aware of any unauthorized access to your account.

3. Acceptable Use

You agree to use ZeviNote only for lawful purposes and in a manner consistent with all applicable federal, state, and local laws and regulations. You agree NOT to:

• Use ZeviNote to generate, store, or transmit protected health information (PHI) unless your facility has executed a Business Associate Agreement (BAA) with ZeviNote
• Misrepresent AI-generated content as unassisted human documentation to regulatory authorities
• Use ZeviNote output as a replacement for clinical judgment, licensed professional advice, or legally required documentation processes
• Attempt to reverse-engineer, copy, scrape, or extract ZeviNote's underlying systems, prompts, or models
• Share your account credentials with unauthorized individuals
• Use ZeviNote to harass, defraud, or harm any individual or organization

4. HIPAA Compliance and Protected Health Information

4.1 Business Associate Agreement Required

If your use of ZeviNote involves the input or processing of Protected Health Information (PHI) as defined under HIPAA, you must execute a separate Business Associate Agreement (BAA) with ZeviNote prior to any such use. Using ZeviNote to process PHI without a signed BAA is a violation of these Terms and may violate federal law.

4.2 Minimizing PHI Input

We strongly recommend that users minimize the entry of PHI into ZeviNote forms. Use initials, resident identifiers, or de-identified information wherever possible.

4.3 Operator Responsibility

You, as the facility operator, remain solely responsible for ensuring your use of ZeviNote complies with HIPAA, applicable state privacy laws, and any applicable licensing requirements for your care facility.

4.4 No Guarantee of Compliance

ZeviNote does not guarantee that use of our platform automatically makes your facility HIPAA-compliant. Compliance is a shared responsibility.

5. Artificial Intelligence Disclaimer

ZeviNote uses third-party artificial intelligence technology to generate documentation drafts. You expressly acknowledge and agree that:

• AI-generated content may contain errors, omissions, or inaccuracies
• AI output does not constitute medical, clinical, legal, or regulatory advice
• All AI-generated documents must be reviewed and approved by a qualified human professional before use in any official capacity
• ZeviNote does not guarantee the accuracy, completeness, or regulatory compliance of any generated content
• You assume full responsibility for verifying and approving all content before submission to any regulatory authority, family member, or official record

6. Subscription, Billing, and Payments

6.1 Plans

ZeviNote offers subscription plans as described on our pricing page. Pricing and plan features are subject to change with notice.

6.2 Free Trial

We may offer a free trial period. No credit card may be required during the trial. At the end of the trial, continued access requires a paid subscription.

6.3 Founding Member Pricing

Founding Member pricing is offered at a locked rate for qualifying early subscribers. This rate applies only for as long as the subscription remains active and in good standing. Cancellation terminates the Founding Member rate.

6.4 Billing

Subscriptions are billed monthly or annually as selected. Payments are processed by our third-party payment processor (Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis.

6.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods, except where required by law.

6.6 Refunds

All payments are final unless otherwise required by applicable law. If you believe you have been charged in error, contact us at legal@zevinote.com within 14 days of the charge.

7. Intellectual Property

7.1 ZeviNote Ownership

All software, technology, branding, prompts, interfaces, and content constituting the ZeviNote platform are owned by Zevi LLC and protected by intellectual property laws. You may not reproduce, copy, or distribute any part of the platform without our written consent.

7.2 Your Content

You retain ownership of any information you submit into ZeviNote. By submitting content, you grant ZeviNote a limited, non-exclusive license to process that content for the sole purpose of providing the service to you.

7.3 Generated Output

Documents generated by ZeviNote using your input are provided to you for your operational use. We do not claim ownership over your generated output documents.

8. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or used ZeviNote in a manner that poses legal or reputational risk to us or others.

You may terminate your account at any time by contacting us at legal@zevinote.com. Termination does not entitle you to a refund except as required by law.

You agree to indemnify, defend, and hold harmless Zevi LLC and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of ZeviNote
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your submission of inaccurate or incomplete care data
• Any claim by a third party related to documentation generated using ZeviNote

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of ZeviNote shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wyoming.

You waive any right to bring claims as a class action or class-wide arbitration.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of ZeviNote after the effective date constitutes acceptance of the updated Terms.
