These Terms constitute a legally binding agreement between you ("User," "Operator," or "you") and Zevi LLC, a company incorporated in the United States, operating the ZeviNote platform ("ZeviNote," "we," "us," or "our").
1. Description of Service
ZeviNote is an AI-powered documentation drafting tool designed to assist residential care and assisted living facility operators and their staff in generating draft documentation, including daily care logs, family communication letters, and caregiver wellbeing messages.

ZeviNote is a drafting productivity tool only. It is not a medical platform, clinical system, compliance tool, or regulatory filing service. ZeviNote does not provide medical advice, clinical assessments, legal advice, regulatory guidance, or compliance recommendations of any kind.
All documents and content generated by ZeviNote are AI-assisted drafts. They must be independently reviewed, verified, edited where necessary, and formally approved by a qualified and authorised human staff member before being used, filed, submitted to any regulatory or government body, or shared with residents, families, or any third party.
ZeviNote does not employ or act as a substitute for licensed medical professionals, healthcare practitioners, care coordinators, compliance officers, or legal advisors.
2. Nature and Limitations of AI-Generated Content
ZeviNote uses artificial intelligence technology to generate documentation drafts based on information submitted by users through shift forms. You acknowledge and agree to the following:
- AI systems can make errors. AI-generated content may contain inaccuracies, omissions, misinterpretations, or factual errors. The AI may misunderstand context, produce incomplete output, or generate content that does not accurately reflect the information submitted.
- AI output is not verified. ZeviNote does not verify, fact-check, clinically review, or validate any content generated by its AI systems before delivery to users.
- AI is not a human professional. No AI-generated document produced by ZeviNote constitutes professional medical, clinical, legal, or regulatory advice. AI output should never be treated as a substitute for the judgement of a qualified human professional.
- Human review is mandatory. Every document generated by ZeviNote must be reviewed and approved by an authorised human staff member before any use. It is the sole responsibility of the user and their organisation to ensure the accuracy, completeness, and appropriateness of all documents before filing, submission, or distribution.
- AI technology evolves. The capabilities and limitations of AI systems change over time. ZeviNote makes no representations about the ongoing accuracy, reliability, or fitness of its AI outputs for any particular purpose.
You assume full responsibility for reviewing all AI-generated content before use. Zevi LLC accepts no liability for errors, omissions, or consequences arising from the use of AI-generated documents that have not been independently reviewed and approved by a qualified human professional.
3. No Medical, Clinical, or Regulatory Advice
ZeviNote expressly disclaims any ability or intent to provide medical, clinical, nursing, pharmaceutical, compliance, regulatory, or legal advice of any kind. Specifically:
- ZeviNote is not a licensed healthcare provider and does not practice medicine or provide clinical guidance.
- No content generated by ZeviNote should be interpreted as a clinical assessment, medical recommendation, care plan, or diagnosis.
- ZeviNote does not guarantee that any AI-generated document meets the requirements of any state or federal regulation, licensing body, or accreditation standard.
- Users are solely responsible for ensuring their documentation practices comply with all applicable laws, regulations, and licensing requirements in their jurisdiction.
- ZeviNote does not represent that use of its platform satisfies any regulatory, inspection, audit, or compliance requirement.
4. Eligibility and Account Responsibility
By using ZeviNote, you represent that you are at least 18 years of age and are authorised to enter into this agreement on behalf of yourself or your organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. 5. Acceptable Use
You agree to use ZeviNote only for lawful purposes and in accordance with these Terms. You agree not to:
- Use ZeviNote to generate false, misleading, or fraudulent documentation
- File or submit any AI-generated document without first conducting independent human review and approval
- Rely on ZeviNote output as a substitute for professional medical, clinical, legal, or regulatory judgement
- Submit protected health information (PHI) without appropriate safeguards in place
- Attempt to reverse engineer, copy, or redistribute the ZeviNote platform or its outputs for commercial resale
- Use ZeviNote in any way that violates applicable federal, state, or local laws or regulations
6. Subscription, Billing and Cancellation
ZeviNote is offered on a subscription basis. By subscribing, you authorise us to charge your payment method on a recurring basis at the rate corresponding to your selected plan.
- Monthly plans may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
- Annual plans are billed upfront for the full year and are non-refundable after the first 30 days.
- Overage charges of $0.25 per care log above your plan cap will be billed at the end of each billing period.
- We reserve the right to change pricing with 30 days written notice to your registered email address.
7. Data and Privacy
Your use of ZeviNote is also governed by our Privacy Policy, incorporated into these Terms by reference. You are responsible for ensuring that any information submitted through ZeviNote complies with all applicable privacy laws and regulations, including HIPAA where applicable to your facility.
8. Intellectual Property
ZeviNote and its underlying technology, branding, and platform design are owned by Zevi LLC. You retain ownership of the underlying information you submit. Documents generated by ZeviNote on the basis of your inputs are provided to you for your operational use. You may not reproduce, resell, or distribute ZeviNote's platform, templates, or system design without written permission from Zevi LLC.
9. Disclaimers and Warranties
ZeviNote is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Zevi LLC expressly disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the platform will be uninterrupted, error-free, or free of harmful components
- Warranties that AI-generated content will be accurate, complete, reliable, or suitable for any regulatory, clinical, or official purpose
- Warranties that use of ZeviNote will satisfy any legal, regulatory, or compliance obligation
10. Limitation of Liability
To the fullest extent permitted by law, Zevi LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of ZeviNote, including but not limited to:
- Errors, inaccuracies, or omissions in AI-generated documentation
- Regulatory non-compliance or licensing violations arising from reliance on platform outputs
- Any adverse outcome resulting from the use of AI-generated documents without independent human review
- Loss of data, revenue, reputation, or business opportunity
- Any claim by a third party, including residents, families, or regulatory bodies, arising from your use of ZeviNote outputs
Our total aggregate liability to you for any and all claims arising from these Terms or your use of ZeviNote shall not exceed the greater of (a) the total fees paid by you to ZeviNote in the three months immediately preceding the claim, or (b) one hundred US dollars ($100.00).
11. Indemnification
You agree to indemnify, defend, and hold harmless Zevi LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of ZeviNote or any AI-generated content produced through your account
- Your failure to independently review, verify, and approve AI-generated documents before use
- Your violation of these Terms or any applicable law or regulation
- Any claim by a resident, family member, employee, regulatory body, or third party arising from documents generated through your account
12. Availability and Modifications
We will make reasonable efforts to keep ZeviNote available and operational. However, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We may update these Terms from time to time. Continued use of ZeviNote after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction, as determined by Zevi LLC at its discretion.
